Ask HN: Delaware C-Corp opened by mistake, how to dissolve it?
1 point by bed99 on Dec 12, 2022 | hide | past | favorite
I mistakenly opened through Stripe Atlas a C-Corp in Delaware a few days ago. As a non-US citizen this creates some issues and it seems a LLC will be better for me, although I don't expect any revenue at first. The purpose of the company is mainly just to publish a free App in the AppStore.

The company has 1 week opened (at state level) and didn't have any kind of activity and won't have. I don't even have an EIN yet.

I think my best path forward is to dissolve it immediately so I don't have to pay next year franchise tax and deal with a C-Corp that I don't need.

How should I proceed at IRS level? After the company is dissolved at state level I read I must file to the IRS Form 966 and 1120 but while 966 seems easy, 1120 is way beyond me. I think I have 30 days after dissolving the company to file these.

What I don't understand are: should I file 1120 Form as a total net loss of the fees of what I paid to open and close the company? There is no 2022 1120 From yet right, which form should I use then?

Thank you
